Colleen is an experienced corporate commercial lawyer with extensive experience in all legal aspects of mergers and acquisitions, from due diligence through to deal negotiation and successful closure, gained both through private practice and in-house experience. She also has extensive experience advising public and private corporations and their boards of directors on all aspects of corporate and securities laws, from drafting governance policies to conducting going private transactions, takeover bids and proxy battles.

Colleen practiced at a large international firm in corporate/commercial law with a focus on securities law and mergers and acquisition law for more than two decades, followed by almost five years at a large institutional investor, first as Associate General Counsel and then as Chief Compliance Officer. 

Colleen possesses considerable expertise in corporate and securities matters, with a focus on mergers and acquisitions, public and private capital markets and financings and corporate governance matters. Colleen’s corporate law practice includes corporate finance, mergers and acquisitions and corporate governance. In her corporate finance practice, she advises issuers on a variety of transactions including bought deals, short form offerings, private placements and high yield financings. She has advised buyers and sellers with respect to various types of merger and acquisition transactions, including amalgamations, takeover bids (including reverse takeover bids) and plans of arrangement. 

Her corporate governance advisory work includes advising corporations and boards of directors with respect to general compliance issues and also specific issues arising out of transactions. Her experience enables her to be an effective virtual in-house counsel, helping organizations to meet legal and business needs effectively and efficiently.
